8. Indemnity

Buyer agrees to indemnify, defend and hold harmless Terra Pots, its subsidiaries and affiliates, their directors, officers, agents and employees from and against any and all liabilities, claims, fines, penalties, demands, causes of action, losses, damages, expenses and attorney’s fees, whether known or unknown, vested or contingent, regardless of whether or not it is caused in part by a party indemnified hereunder and regardless of whether or not it is caused in part by the negligence of a party indemnified hereunder, that arise out of or result from buyer’s application  or use of Terra Pots components.

All payments are due at the time of purchase.

10. Sales Tax

All shipments within the State of Texas will be charged sales tax.  Buyer is responsible for paying the sales tax.  In some states, Buyer may be responsible to pay use tax or other applicable taxes.  It is the Buyer’s responsibility to determine if they have any tax obligations.

11. Return and Refund Policy

There is a ninety (90) day return policy on any product purchased from Terra Pots.  A product may be returned within ninety (90) days of the order date for any reason.  Buyer is responsible for all costs associated with returning any product to Terra Pots.  Buyer shall contact Terra Pots before shipping any products back in order to receive shipping instructions.

12. Governing Law

Any claim relating to Terra Pots’s website shall be governed by the laws of the State of Texas without regard to its conflict of law provisions.

13. Assignment

Purchaser may not assign any right or duty arising under any order, in whole or in part, without Seller’s prior written consent.

14. Severability

If any provision of these Terms and Conditions of Sale for any reason be held to be illegal, invalid or unenforceable, such illegality shall not affect any other provision of these Terms and Conditions of Sale, but these Terms and Conditions of Sale shall be construed as if such illegal, invalid or unenforceable provision had never been included herein.

17. No Waiver

No delay on the part of Seller in exercising any right, power or privilege hereunder shall operate as a waiver thereof, nor shall any waiver on the part of Seller of any such right, power or privilege, nor any single or partial exercise of any such right, power or privilege, preclude any further exercise thereof or the exercise of any other such right, power or privilege.
